SpaceX Stock Restrictions

Understanding SpaceX Share Restrictions and What Happens Next

One of the questions we receive most often from investors is: “When will the SpaceX shares become liquid?”

Like many highly sought-after pre-IPO investments, SpaceX has placed restrictions on the transfer and sale of its shares. These restrictions are designed to control the shareholder base and limit secondary market activity while the company remains privately held.

At the moment, those restrictions prevent us from freely distributing shares to investors. As a result, any shares allocated through our investment structure must remain within the entity until SpaceX permits transfers or another liquidity event occurs.

How Will Ticker Tape Handle Share Distributions?

Our intention is simple: once the shares become transferable, we plan to distribute the shares to investors as quickly and efficiently as possible, subject to legal, regulatory, and administrative requirements.

We believe investors should have the ability to decide for themselves whether they want to hold their shares for long-term appreciation or sell them if liquidity is available. Our goal has always been to create access to exceptional private investments while providing a clear path to liquidity whenever possible.

Restrictions Schedule

The current restriction schedule is:

Timing After IPOShares Eligible for Release
After first post-IPO earnings reportUp to 20% of restricted shares may become eligible for sale, subject to company performance requirements.
Stock trades 30% above IPO priceAdditional 10% may become eligible.
Day 70Additional tranche (~7%).
Day 90Additional tranche (~7%).
Day 105Additional tranche (~7%).
Day 120Additional tranche (~7%).
Day 135Additional tranche (~7%).
After subsequent earnings reportAdditional 28% may become eligible.
Day 180Remaining restricted shares become eligible if not previously released.

SpaceX has begun implementing a phased liquidity program that gradually releases restricted shares over time. As additional transfer windows become available, Ticker Tape intends to evaluate opportunities to distribute shares to investors as soon as legally and administratively feasible.

If the share price remains high (significantly higher than the IPO price of $135), SpaceX might release shares earlier or otherwise modify the above schedule.

Why We Are Optimistic

The good news is that SpaceX continues to demonstrate extraordinary market demand. Market pricing has remained strong, reflecting continued investor enthusiasm for the company’s leadership in launch services, satellite communications, and space exploration.

Historically, private companies often become more flexible regarding shareholder liquidity as valuations rise, demand increases, and the shareholder base matures. While there is no guarantee that SpaceX will accelerate the removal of transfer restrictions, we remain hopeful that the company’s continued success and strong market valuation may encourage broader liquidity options in the future.

Looking Ahead

As always, we will keep investors informed of any developments regarding transferability, liquidity opportunities, or changes in SpaceX’s policies. Until then, we remain excited about the long-term prospects of what many consider one of the most important private companies in the world.

For investors, patience can sometimes be the price of access to exceptional opportunities. We believe SpaceX remains a compelling example of why many accredited investors include private market investments as part of a diversified portfolio.
